我過去沒有通讀此書 現在讀董事會一章 發現他的說法還是很有說服力
美國500大公司的董事會 只有5% 及格
其績效不彰 因董事會不好
董事會必須將所有管理層排除 是獨立的組織 包括特支費等自行決定/經股東大會同意
